THE CANTON/ALLIANCE/MASSILLON
USERS GROUP (CAMUG)
CONSTITUTION
ARTICLE I - NAME
This organization shall be called the CANTON/ALLIANCE/MASSILLON USERS GROUP (formerly the
CANTON/AKRON/MASSILLON USERS GROUP). The designation "CAMUG" shall also refer to
this group when used in this document, as well as any other publication media.
ARTICLE II - PURPOSE
The purpose of this group shall be to share and promote the use of computers in the
Canton, Alliance and Massillon areas through cooperation,
effort, and good fellowship; and to provide challenging, progressive development for its
membership. For legal and other related purposes, the
group is formed as a non-profit organization.
ARTICLE III - MEMBERSHIP
Any person interested in the use of computers may become a member of the group as provided
in the BY-LAWS.
ARTICLE IV - MEETINGS
Meetings of the CANTON/ALLIANCE/MASSILLON USERS GROUP shall be held at a date, time and
location as specified by the Board of Directors.
ARTICLE V - OFFICERS
The officers of the club shall be defined in the BY-LAWS to allow for increase in offices
as the group grows and the need arises.
ARTICLE VI - VACANCIES
SECTION 1. If the office of President becomes vacant, the Senior Director shall assume all
duties of the President until a special election can be held to elect a new President.
This special election must be held within 60 days of the vacancy.
SECTION 2. Any other vacancy on the Board of Directors shall be filled temporarily by
appointment by the majority of the remaining Board members. The appointee shall have
no voting privileges. A special election will be held within 60 days to fill the vacancy.
ARTICLE VII - COMMITTEES
Committees shall be as defined in the BY-LAWS, with adhoc committees to be appointed by
the President as required.
ARTICLE VIII - FINANCES
SECTION 1. There shall be an annual dues as specified in the BY-LAWS.
SECTION 2. All funds collected shall be used solely to promote the Users Group's purposes.
SECTION 3. All financial activities shall be accurately monitored and reported regularly
to the membership as specified in the BY-LAWS.
ARTICLE IX - AMENDMENTS
Amendments to this Constitution may be made at any time by a two-thirds vote of the
members present at the regular monthly meeting. Proposed amendments must be given, in
writing, to the President no less than one (1) month prior to taking a vote in order that
the proposed amendment can be presented at the monthly meeting preceding the vote.
Announcement of a proposed amendment shall also be published in the monthly newsletter
prior to the monthly meeting preceding a vote.
ARTICLE X - BY-LAWS
BY-LAWS for the transaction of group business may be adopted, revoked, or amended at any
time by a majority affirmative vote of the members present at the regular monthly meeting.
